Agreement to Terms

These Terms and Conditions govern your use of Light Code Labs websites, previews, dashboards, communications, and services. By using our services or communicating with us, you agree to these terms.

Services

Light Code Labs provides website, sales, analytics, lead management, automation, communication, and related business services. Some features may include generated website previews, sales follow up, onboarding, dashboards, reporting, support communications, form to SMS alerts, missed call replies, review requests, receptionist tools, CRM routing, phone number setup, and messaging registration support.

Specific deliverables, timelines, and fees for paid services are described in a proposal, checkout page, invoice, statement of work, or order form.

Walkthroughs and Sales Previews

Website previews, consultations, audits, demo links, and sales materials may be generated from public business information, information you provide, assumptions, automated checks, and examples from similar businesses. They are provided so you can evaluate our services. They are not final deliverables and do not guarantee a specific business result.

You may review previews internally while deciding whether to work with us. You may not publish, copy, resell, or use preview assets as your own production website, campaign, or marketing system unless we give written permission or the materials become paid deliverables under an accepted engagement.

Payment Terms

  • Paid engagements are quoted with a setup fee and a recurring monthly fee unless your proposal says otherwise.
  • Setup fees are charged when production starts and are not refundable because planning, design, engineering, configuration, and account setup begin immediately.
  • Recurring fees start when the site or system is live and approved, unless your proposal, invoice, checkout page, or order form says otherwise.
  • Recurring fees are billed in advance, monthly, until cancelled in writing with at least 30 days notice.
  • Late or failed payments may result in pause or suspension of services. We are not liable for losses caused by suspension due to unpaid invoices.
  • All fees are stated in USD and are exclusive of taxes, which you are responsible for.
  • Telecommunications, carrier, Twilio, A2P 10DLC, number registration, number rental, verification, messaging, voice, email, payment processor, stock asset, domain, ad platform, and other pass through costs are your responsibility when they apply, whether billed directly by the provider or passed through by us.

SMS Program Description

Program name: Light Code Labs Preview and Service Messages.

Light Code Labs may send one to one SMS messages to business contacts who request or reasonably expect a website preview link, consultation follow up, service update, onboarding message, support response, account related communication, form to SMS alert, missed call reply, review request, or other service coordination message. This program is not used for bulk SMS, automated nurture campaigns, or third party purchased list blasts.

SMS Consent and Message Frequency

By providing your phone number or agreeing to receive a text from Light Code Labs, you consent to receive SMS messages related to the requested conversation or service. Consent is not required to buy from us. Message frequency varies based on your interaction with us, but messages are typically sent only as needed for one to one follow up, support, or service coordination.

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

SMS Opt Out and Help

You can cancel SMS messages at any time by replying STOP. After you send STOP, we may send one final confirmation message and then stop sending SMS to that number unless you opt back in where supported.

A2P 10DLC and Messaging Registration

A2P 10DLC campaigns represent messaging use cases, such as account notifications, customer care, lead follow up, review requests, appointment reminders, or marketing. Campaigns are connected to a registered brand, a Messaging Service, and phone numbers. If we help register or operate messaging for your business, you agree to provide accurate business identity details, privacy policy URLs, terms URLs, sample messages, opt in workflows, opt out instructions, expected message volume, phone number details, and other information required by Twilio, carriers, or registration partners.

You may not use a campaign to send messages outside its approved purpose. Registration, vetting, phone number availability, throughput, deliverability, filtering, carrier penalties, and approval are controlled by Twilio, carriers, and their partners. We do not guarantee approval, delivery speed, throughput, or uninterrupted SMS service.

Client Messaging Responsibilities

If we build or operate messaging, form to SMS, missed call text back, review request, or customer communication workflows for your business, you are responsible for the accuracy of your message content, your customer permissions, your consent records, your privacy notices, and your compliance with laws, carrier rules, Twilio policies, and campaign requirements. We may refuse, pause, or disable messaging if we believe a campaign, list, message, opt in workflow, or requested use violates those requirements.

Intellectual Property

Our existing tools, templates, prompts, code, designs, methods, libraries, workflows, and operating processes remain our property. On full payment, you receive a limited license to use the finished deliverables we build for you in your business. Materials you supply to us remain yours, and you grant us the rights necessary to use them to deliver the Services.

Website content, graphics, copy, workflow configurations, and other finished assets created specifically for your paid engagement are yours to use after full payment, subject to any provider licenses, open source licenses, stock asset licenses, and third party terms that apply.

Privacy and Customer Data

Our handling of personal information is described in our Privacy Policy. If we process customer, lead, message, call, or form data for your business, you remain responsible for your own privacy notices, consent language, customer requests, regulatory obligations, and instructions to us.

SMS consent and phone numbers are not sold, rented, or shared with third parties or affiliates for their own marketing purposes. See our Privacy Policy for details.

Acceptable Use

  • You may not use our services for unlawful, harmful, misleading, unsolicited, or abusive activity.
  • You may not use purchased, rented, transferred, or scraped contact lists for messaging through our services.
  • You may not interfere with the security, integrity, or operation of our systems or any provider systems.
  • You are responsible for the accuracy of information you provide to us.

Third Party Services

Our services may depend on providers such as Twilio, Cal.com, Web3Forms, hosting companies, domain registrars, payment processors, CRMs, analytics tools, automation tools, phone providers, email providers, map and search platforms, and other software services. Their own terms, limits, outages, pricing, review processes, and policy decisions may apply.

Disclaimers

Services are provided as available and may change over time. We do not guarantee specific business outcomes, lead volume, revenue results, search rankings, review volume, call volume, message delivery, call handling accuracy, platform approval, or uninterrupted service.

We may provide operational, marketing, technical, and compliance oriented guidance, but we do not provide legal, tax, or accounting advice. You should consult your own advisors for those decisions.

Limitation of Liability

To the fullest extent permitted by law, Light Code Labs is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenue, lost data, carrier delays, message delivery failures, provider outages, rejected registrations, platform changes, or failures outside our control. Our total aggregate liability for any claim arising out of or relating to the services is limited to the fees you paid us in the three months preceding the event giving rise to the claim.

Indemnification

You agree to defend and indemnify Light Code Labs against any claims arising from your content, your lists, your customer data, your messaging campaigns, your consent records, your use of the Services, your violation of these Terms, your violation of provider rules, or your violation of applicable law.

Termination

Either party may terminate a paid engagement with 30 days written notice. We may suspend or terminate immediately for unpaid invoices, breach of these Terms, or misuse of the Services. Sections that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. The exclusive venue for disputes is the state or federal courts located in Miami-Dade County, Florida.

Changes

We may update these terms from time to time. Updates are effective when posted unless otherwise stated.
